STANDARD TERMS AND CONDITIONS OF SALE OF SPECTRUM PRINTING, LLC. (dba: Spectrum Printing | Design | Apparel or Spectrum Design Apparel)
The following terms and conditions apply to the purchases of products to be provided by Spectrum Printing, LLC (“Spectrum”) for the Customer (“Customer”) and are considered to be widely accepted within our industry.
 
Orders: All Web Site orders are final, see Returns and Exchanges Policies listed on this site for details. Acceptance of orders is subject to payment approval and contingencies such as product availability, fire, water, strikes, theft, vandalism, acts of God, and other causes beyond Spectrum’s control. Cancelled orders require compensation for incurred costs and related obligations.

Returns: All sales are final. Spectrum will not accepted cash returns, see Returns and Exchanges Policies listed on this site for details.

Exchanges: Spectrum will offer a full exchange of any and all defective product/s as well as any incorrect product/s shipped to the Customer.  Spectrum reserves the right to determine acceptance of all exchanges. All product/s to be exchanged must be returned to Spectrum prior to replacement product shipping to the Customer.  The Customer will be responsible for all shipping cost associated with the delivery of exchanged products to Spectrum, unless prior arrangements are made with Spectrum. Cancellations: Cancellations can be made at any time by the Customer.  Oral cancellations must be followed up with a written request or notice of cancellation. The Customer will be liable for all costs of material, labor and related expenses incurred by Spectrum until the date of cancellation. See Cancelation Policies listed on this site for details.
 
Delivery: Will be made by the method specified by the Customer at the time the order is placed. Spectrum will charge accordingly at current rates.  Shipping rates provided on the web site are estimates and may be altered prior to shipment, only with Customer consent. Additional charges covering the areas of special packaging, service, handling, postage, delivery and air freight are included in the shipping estimate on the web site. Title for finished work passes to the Customer when goods are accepted by the carrier. See Shipping and Delivery Policies listed on this site for details.

Shipping Time: Estimated shipping times will be provided on most product/s and all products will ship at the same time. Shipping times are subject to change without notification. There will be no liability or penalty for delays due to product availability, state of war, riot, civil disorder, fire, strikes, accidents, machinery breakdowns, actions of government or civil authority, acts of God or other causes beyond the control of Spectrum. In such cases, schedules will be extended by an amount of time equal to delay incurred. See Shipping and Delivery Policies listed on this site for details.
 
Terms/Claims/Liens: Payment, in-full, is required prior to product shipment. Claims for defects, damages or shortages must be made by the Customer in writing no later than 10 calendar days after delivery. If no such claim is made, Spectrum and the Customer will understand that the job has been accepted. By accepting the job, the Customer acknowledges that Spectrum’s performance has fully satisfied all terms, conditions and specifications. Spectrum reserves the right to be involved in any corrective action process. The Customer will accept full responsibility for all costs of inspection and rework if Spectrum is not notified or given an opportunity to be involved in the corrective action process.

Spectrum’s liability will be limited to the purchase price of defective goods, without additional liability for special or consequential damages. The Customer is responsible for any charges, assessed to Spectrum, associated with disputed Credit Card charges.

Indemnification: The Customer agrees to protect Spectrum from economic loss and any other harmful consequences that could arise in connection with the work. This means that the Customer will hold Spectrum harmless and save, indemnify and otherwise defend him/her against all claims, demands, actions and proceedings on any and all grounds. This will apply regardless of responsibility for negligence.

Liability:
a. Disclaimer of Express Warranties: Spectrum warrants that the products purchased are free of significant defect and are within quality standards generally associated with the product/s purchased.

b. Disclaimer of Implied Warranties:  Spectrum warrants only that the product will conform to the specifications contained in the product description. Spectrum’s maximum liability, whether by negligence, contract, or otherwise, will be for Exchange of the product/s in dispute. Spectrum’s sole responsibility is to correct or replace its own product. Under no circumstance will Spectrum be liable for any losses perceived or otherwise.

Conflicting Terms and Conditions: Spectrum recognizes that the Customer, for its own purposes, desires to utilize its own form of acknowledgement or other documentation in connection with this transaction. Any provisions in any such other documentation which modify, conflict with or contradict any provision of these stated terms and conditions will be null and void and these terms and conditions set forth herein will control.

Taxes: All Minnesota state taxes and assessments will be added to Customers placing orders within Minnesota. No tax exemption certificate will be granted.  The Customer assumes all responsibility to promptly remit the required taxes to the appropriate taxing authority on purchases made from outside of Minnesota.

Effect: This document will be valid for the all orders placed.
